TERMS OF USE & PLATFORM REGULATIONS

Welcome to the Matching Apulia B2B Marketplace (booking.matchingapulia.it), an exclusive digital infrastructure engineered, owned, and operated by Ospito Consorzio a r.l. (hereinafter referred to as "the Consortium").

These Terms of Use govern the access to and use of the platform. By utilizing this portal to trade, distribute, or procure tourism services within the South-East Bari region, you agree to comply with these terms. Access to this platform is strictly restricted to verified corporate entities and professionals operating within the tourism and travel sectors.


1. GENERAL DISPOSAL & CONTENT LIABILITY DISCLAIMER

1.1 Third-Party Content Ownership

The Matching Apulia platform operates as a specialized B2B marketplace engine. All listings, data, rates, inventory allocations, descriptive texts, images, and specific terms related to tourism services (Accommodations, Tours & Experiences, Transfers) are uploaded, updated, and managed directly and autonomously by the respective Sellers.

1.2 Limitation of Liability for Information Accuracy

As the infrastructure provider, Ospito Consorzio a r.l. does not assume any legal or operational responsibility regarding the nature, accuracy, completeness, or reliability of the information displayed by Sellers. The Consortium is not liable for typographical errors, inventory discrepancies, misrepresentations of services, or any direct or indirect damages resulting from the operational content provided by individual suppliers on the portal.


2. BUYER FUNCTIONALITIES & TERMS OF USE

2.1 Contractual Governance

Access to the platform’s procurement, cart aggregation, and booking engine for Buyers (Tour Operators, Travel Agencies, DMCs) is strictly regulated by the binding Commercial Agreement previously stipulated between the Buyer and the Consortium, following formal approval by the Board of Directors (CdA).

2.2 Right of Preemption & Booking Validation Process (Diritto di Prelazione)

To optimize inventory distribution within the South-East Bari cluster, the platform grants Buyers a Right of Preemption (Diritto di Prelazione) over specific tourism services or blocks of inventory of interest. The operational workflow for this functionality is governed as follows:

Preemption Request: The Buyer can select and block services of interest through the platform interface.

Consortium Mediation & Staff Validation: The reservation or block is not automatically finalized. It is subject to a mandatory validation process by the Consortium's operational staff.

Seller Consultation: Upon receiving the preemption request, the Consortium staff will officially consult the specific Sellers involved to verify operational feasibility, capacity constraints, and specific terms.

Final Confirmation: Following the hearing of the interested Sellers, the Consortium staff will formally confirm or reject the booking/preemption block to the Buyer.


3. SELLER FUNCTIONALITIES & TERMS OF USE

3.1 Contractual Governance (Convenzione Operativa)

The integration, listing, and trading of services by Sellers (Hotels, Masserie, NCC Drivers, Tour Guides, Activity Providers) are strictly regulated by a specific operational convention (Convenzione) stipulated directly between the Seller and the Consortium.

3.2 Management & Fiscal Obligations

The aforementioned Convention legally dictates all operational, management, and fiscal frameworks required for compliance with Italian and European laws, including but not limited to:

Inventory & Channel Management: The rules for XML/API synchronization, manual extranet updates, and the prevention of overbookings.

Fiscal and Invoicing Workflows: The standardization of digital billing (Fatturazione Elettronica) routed via the Italian Sistema di Interscambio (SDI), the definition of commission structures, and the management of payment processing timelines.

Content Maintenance: The strict obligation for Sellers to keep their legal documentation, operational licenses, and public safety data (TULPS requirements) continuously updated on their profile.


4. SYSTEM INTEGRITY & TERMINATION

4.1 Prohibited Uses

Users (both Buyers and Sellers) are strictly prohibited from bypassing the platform’s transactional infrastructure once a business match has been initiated, attempting to scrape proprietary data, or utilizing the communication tools for purposes outside the scope of the established commercial agreements.

4.2 Suspension and Revocation

Ospito Consorzio a r.l. reserves the right, at its sole discretion, to temporarily suspend or permanently terminate platform access for any Buyer or Seller found to be in breach of these Terms of Use, the specific Commercial Agreements, the operational Convenzione, or applicable Italian commercial laws.
